Veirano Advogados has built up considerable experience in the area of Capital Markets, representing issuers, underwriters, fund managers and qualified investors in operations on stock markets and the over-the-counter markets in Brazil and/or abroad. We offer full consulting service, from obtaining registries, through the routines of compliance, right up to cancellation.

Our Capital Markets team gathers highly-trained professionals, most of them with a master's degree and international experience, gained at universities and law firms in the United States and Europe.

The activities performed by Veirano Advogados encompass the legal structuring of issuance of capital and debt securities and titles on the local and international markets (shares, units, DR's, debentures, notes), registry of issuers at the CVM (Brazilian SEC.), legal structuring for investment funds, particularly for qualified investors, along with the public distribution of their quotas.

Veirano Advogados is also highly active in providing legal advice to issuers, fund managers and investors on the subject of compliance with the standards laid down by the CVM, assisting its clients in compliance with the rules concerning administrative routines, rendering accounts, disclosure of information and completion of corporate operations.

Our activities also encompass administrative litigation, by means of representation of issuers, fund managers and investors in disciplinary proceedings before the CVM and the Appeals Committee of the National Financial System ("CRSFN").
